Terms of Service

1. Description of Service

Outpost Locator ("Outpost", "the Service", also referred to as "Outpost Store Locator"), operated by Hexabu Labs ("Hexabu Labs", "we", "us", or "our"), a limited company registered in Kenya, provides digital interactive store locator widgets, map customization tools, store directory managers, geocoding pipelines, analytics, and integration software for e-commerce platforms and website builders (such as Shopify, Squarespace, WordPress, Wix, BigCommerce, and custom websites).

We may periodically update, improve, or alter features and capabilities of the Service to enhance user experience, security, and performance.

2. Description of Agreement

These Terms of Service constitute a legally binding agreement between you ("Client", "User", "you", or "your") and Hexabu Labs concerning your access to and use of Outpost. If you are entering into this agreement on behalf of a company or legal entity, you represent that you have authority to bind that entity to these Terms.

3. Account Registration & Security

To access features of the Service, you must register for an account by providing accurate, complete, and current information. You are responsible for safeguarding your login credentials (whether password or third-party sign-in such as Google Sign-In) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Payment, Billing & Renewal

Certain plans and features are offered on a paid subscription basis. Subscriptions are billed in advance on a recurring monthly or annual basis, depending on the billing cycle you choose.

• Card Billing: Card payments are processed securely through our third-party payment processor, Paystack, subject to Paystack's Terms of Service. By providing your payment details, you authorize recurring charges for your subscription plan. Full card details are processed directly by Paystack over a secure encrypted connection and are never stored on Outpost servers.
• Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date.
• Free Trials: If you sign up for a trial period, billing begins upon expiration of the trial unless cancelled beforehand.

5. App Stores & Integrated Platforms (Shopify)

If you install Outpost through the Shopify App Store or another third-party marketplace, your billing, subscription charges, and application lifecycle will also be governed by the respective terms of that platform (including Shopify's Merchant Agreement and Shopify Billing API).

6. Fair Use & Traffic Volume

Our plans are designed to accommodate standard commercial traffic for retail and brand store locators. To ensure platform stability, we apply fair use guidelines on search query rates, geocoding requests, and API calls. If your usage significantly exceeds standard volumes or threatens service stability, we will contact you to discuss an upgraded plan or reasonable limits before taking administrative action.

7. Taxes

Subscription fees quoted are exclusive of all applicable federal, state, provincial, or local sales taxes, value-added taxes (VAT), or goods and services taxes (GST), which will be charged where required by law.

8. Intellectual Property Rights

Hexabu Labs retains all rights, title, and interest in and to Outpost Store Locator, including all related software, user interfaces, algorithms, designs, logos, trademarks, documentation, and source code. These Terms do not grant you any ownership rights in the Service.

9. License to Outpost

You grant Hexabu Labs and Outpost a worldwide, non-exclusive, royalty-free license to host, copy, process, geocode, display, and transmit the store locations, business names, addresses, images, and content you upload solely to the extent necessary to provide, render, and maintain the store locator service on your behalf.

10. License to Material & User Content

You represent and warrant that you own or have obtained all necessary licenses, permissions, and rights to use, upload, and display all store addresses, trademarks, logos, and images that you submit to the Service, and that such content does not infringe the intellectual property or privacy rights of any third party.

11. Publicity & Feedback

Unless you notify us otherwise in writing, we may identify you as an Outpost customer and display your brand name or logo on our website for promotional purposes. Any feedback, suggestions, or ideas you submit regarding Outpost may be used by us without restriction or compensation to you.

12. Service Access & Acceptable Use

You agree not to: (a) reverse-engineer, decompile, or disassemble any portion of Outpost; (b) use automated bots, spiders, or scrapers to extract data from our service; (c) attempt to probe, scan, or breach our security safeguards; or (d) use the Service for any unlawful or deceptive purpose.

13. Termination of Service

You may terminate your account at any time through your dashboard settings or by uninstalling the Outpost application from your website platform. We reserve the right to suspend or terminate accounts that breach these Terms or engage in abusive or illegal activities.

14. Refunds

Subscription charges are billed in advance and are generally non-refundable except where required by law or as expressly agreed by Outpost support in special circumstances. If you cancel your subscription, you will continue to have access to paid features until the end of your current prepaid billing cycle.

15. Privacy

Your privacy is paramount to us. Our collection and handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

16. Service Level & Uptime

We use commercially reasonable efforts to maintain continuous availability and 99.9% uptime for the Outpost store locator widget and dashboard. However, the Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties that it will be entirely error-free or uninterrupted. Scheduled maintenance will be performed during off-peak hours whenever feasible.

17. Indemnification

You agree to defend, indemnify, and hold harmless Hexabu Labs, Outpost Store Locator, and their respective directors, officers, employees, and agents from and against any third-party claims, liabilities, damages, and expenses (including reasonable attorney fees) arising from your violation of these Terms or infringement of third-party rights.

18. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Hexabu Labs or Outpost Store Locator be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, data, or goodwill. In no event shall our total aggregate liability for all claims related to the Service exceed the total amount paid by you to Outpost during the twelve (12) months preceding the event giving rise to liability.

19. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.
